Wholesale Terms and Conditions
AVID SWIM WHOLESALE TERMS & CONDITIONS
Effective Date: September 18, 2026
These Wholesale Terms & Conditions (“Terms”) apply to all wholesale purchases of Avid Swim products by approved retail partners (“Retailer”). By submitting or placing a wholesale order with Avid Swim LLC (“Avid Swim”), the Retailer acknowledges that it has reviewed, understood, and agreed to these Terms.
1. WHOLESALE ACCOUNT APPROVAL
Access to Avid Swim wholesale pricing and products is available only to approved retail partners.
Approval of a wholesale account does not obligate Avid Swim to accept any particular order and does not guarantee continued access to the wholesale program. Avid Swim reserves the right to review wholesale accounts and orders to ensure they remain consistent with the brand, available inventory, production capacity, and these Terms.
Wholesale accounts and pricing are intended solely for the approved Retailer and may not be transferred, shared, or used to purchase merchandise on behalf of another business without prior written approval from Avid Swim.
2. WHOLESALE ASSORTMENT
Approved Retailers may purchase merchandise from the assortment made available through the Avid Swim Wholesale Shop.
Availability of products, prints, colors, sizes, and collections may change at any time.
Children’s products are not currently included in the standard wholesale assortment unless otherwise expressly approved by Avid Swim.
Access to the wholesale program does not guarantee that every product available through Avid Swim’s direct-to-consumer channels will be available for wholesale purchase.
3. WHOLESALE PRICING
Wholesale pricing is displayed through the Retailer’s approved wholesale account.
Suggested retail prices may also be provided by Avid Swim to support consistent brand positioning in the marketplace.
Wholesale pricing, suggested retail pricing, product availability, and assortment are subject to change. Confirmed orders will be honored at the pricing accepted by Avid Swim at the time of order confirmation unless otherwise agreed in writing.
4. MINIMUM ORDER REQUIREMENTS
The minimum opening wholesale order is $1,000 USD.
The minimum reorder is $500 USD.
Minimums are calculated based on the wholesale merchandise subtotal before applicable shipping charges, taxes, duties, or other fees unless otherwise specified by Avid Swim.
Avid Swim may approve exceptions to minimum order requirements at its discretion.
5. PAYMENT
Payment is due at the time a wholesale order is placed unless alternative payment terms have been separately approved in writing by Avid Swim.
Orders will not enter production or fulfillment until required payment has been received or approved payment arrangements have been confirmed.
Approval as a wholesale Retailer does not automatically establish credit terms, net payment terms, or other deferred-payment arrangements.
6. ORDER REVIEW & ACCEPTANCE
Submission and payment of a wholesale order do not guarantee acceptance of every item requested.
All wholesale orders are subject to review by Avid Swim for product availability, production capacity, quantities, and other fulfillment considerations.
If Avid Swim is unable to accept or fulfill a portion of an order, the Retailer will be contacted regarding available alternatives, modifications, credits, or refunds for the affected merchandise.
Once an order has been reviewed and accepted, the Retailer will receive applicable fulfillment information or updates.
7. PRODUCTION & LEAD TIMES
Avid Swim operates a limited-production and made-to-order business model. Wholesale orders generally require approximately 21 to 60 days for production and fulfillment.
Actual timing may vary based on order quantity, style, size assortment, material availability, production schedules, seasonal demand, and other circumstances.
A more specific estimated fulfillment timeframe will be communicated after the order has been reviewed and confirmed.
Lead times are estimates and are not guaranteed delivery dates unless Avid Swim expressly agrees to a delivery date in writing.
Retailers are responsible for considering Avid Swim’s stated production timelines when planning launches, events, seasonal assortments, or customer commitments.
8. SHIPPING & DELIVERY
The Retailer’s first qualifying wholesale order of $1,000 USD or more will receive complimentary standard shipping within the United States.
Complimentary opening-order shipping applies only to the Retailer’s first accepted wholesale order and does not apply to expedited shipping, international shipping, customs duties, import taxes, brokerage charges, or other special delivery services unless otherwise expressly approved by Avid Swim in writing.
After the opening order, shipping charges are the responsibility of the Retailer unless otherwise agreed in writing.
Applicable shipping and handling charges for subsequent orders may be calculated at checkout, invoiced separately, or communicated following order review depending on the size and destination of the shipment.
The Retailer is responsible for providing a complete and accurate delivery address and contact information.
Avid Swim is not responsible for delays caused by carriers, customs processing, severe weather, incorrect delivery information, or circumstances outside Avid Swim’s reasonable control.
International Retailers are responsible for applicable shipping charges, customs duties, import taxes, brokerage charges, and other destination-related fees unless otherwise agreed in writing.
9. CANCELLATIONS & ORDER CHANGES
A Retailer may request cancellation of a wholesale order within 48 hours of order placement, provided production or order-specific preparation has not already begun.
After the 48-hour cancellation period, wholesale orders are considered final and non-cancelable.
Because merchandise may be produced, allocated, or prepared specifically for the Retailer, Avid Swim cannot guarantee that cancellation or modification requests submitted after production has begun can be accommodated.
Any exception is at Avid Swim’s discretion and must be confirmed in writing.
10. WHOLESALE RETURNS
Wholesale orders are final sale.
Avid Swim does not accept wholesale returns or exchanges due to unsold inventory, changes in customer demand, seasonal changes, Retailer preference, overstock, or other circumstances unrelated to a product defect or order error.
Returns will only be considered when merchandise is received damaged, defective, or materially different from the Retailer’s confirmed order.
Retailers should not send merchandise back to Avid Swim without receiving return authorization.
11. DAMAGED, DEFECTIVE, MISSING OR INCORRECT MERCHANDISE
Retailers are responsible for inspecting wholesale shipments promptly upon receipt.
Claims involving damaged, defective, missing, or incorrect merchandise must be submitted to Avid Swim within 7 calendar days of delivery.
Claims should include the order number, affected product information, quantity affected, a description of the issue, and clear photographs when applicable.
After reviewing the claim, Avid Swim may, as appropriate, repair or replace the affected merchandise, issue a credit, or provide another reasonable resolution.
Claims submitted after the seven-day inspection period may be declined except where otherwise required by applicable law.
12. RETAIL PRICING & PROMOTIONS
Avid Swim may provide suggested retail pricing and promotional guidance to support consistent presentation and positioning of the brand.
Retailers remain responsible for their own retail pricing decisions, subject to applicable law and any separately agreed written promotional or pricing policies.
Retailers are encouraged to communicate with Avid Swim before conducting substantial brand-specific markdowns, clearance events, or promotions that could materially affect the presentation or positioning of Avid Swim merchandise.
Retailers may participate in Avid Swim coordinated seasonal promotions or other approved promotional initiatives when offered.
Nothing in these Terms is intended to require a Retailer to violate applicable laws governing resale pricing or competition.
13. AUTHORIZED SALES CHANNELS
Wholesale approval authorizes the Retailer to resell Avid Swim merchandise through the physical retail locations and/or Retailer-owned e-commerce channels associated with its approved wholesale account.
Avid Swim merchandise may not be resold through third-party marketplaces, auction platforms, unauthorized resale platforms, or other sales channels not associated with the approved Retailer without prior written approval from Avid Swim.
This includes, without limitation, third-party marketplace listings on platforms such as Amazon, Walmart Marketplace, and eBay.
Wholesale merchandise may not be sold to another reseller, distributor, wholesaler, or other third party for further resale without prior written approval.
14. BRAND PRESENTATION & INTELLECTUAL PROPERTY
The Avid Swim name, trademarks, logos, product names, prints, designs, photographs, marketing materials, and other brand assets remain the property of Avid Swim or their respective rights holders.
Approved Retailers may use Avid Swim-provided product photography, product descriptions, logos, and approved marketing materials solely for the purpose of marketing and selling authentic Avid Swim merchandise purchased directly from Avid Swim.
Brand assets may not be materially altered, sublicensed, transferred, or used to create derivative products or materials without prior authorization.
Retailers may create their own photography and merchandising content featuring legitimately purchased Avid Swim merchandise, provided the content does not misrepresent the products or the Retailer’s relationship with Avid Swim.
Wholesale approval does not transfer ownership of any Avid Swim intellectual property.
15. BRAND REPRESENTATION
Retailers agree to represent Avid Swim merchandise accurately and professionally.
A Retailer may identify itself as an authorized Avid Swim retail partner while its wholesale account remains active but may not represent itself as an exclusive retailer, distributor, agent, representative, franchisee, or affiliate of Avid Swim unless such relationship has been separately established in writing.
